Milacron Sets Annual Meeting for August 3

CINCINNATI, OHIO, May 4, 2005...Milacron Inc. (NYSE: MZ) today announced that its annual meeting of shareholders will be held at 9:00 a.m. EDT on August 3, 2005 in Reakirt Auditorium of the Cincinnati Museum Center at Union Terminal, 1301 Western Avenue, Cincinnati, Ohio 45203.  Shareholders of record as of June 15, 2005 are entitled to attend and to vote at the annual meeting.

Milacron filed its 2004 annual report on Form 10-K with the Securities and Exchange Commission (SEC) on March 30 but has delayed mailing this document to shareholders in order to include an amendment related to satisfying Section 404 of the Sarbanes-Oxley Act of 2002 (SOX-404).  The current 10-K is available for download from the SEC's website, www.sec.gov, as well as from the company's website, www.milacron.com.

The company believes it will file the SOX-404 related amendment, which will include management's report and the auditor's attestation on internal controls over financial reporting, on or before June 30.  After that, Milacron will mail the complete annual report on Form 10-K, including the amendment, to shareholders of record.
